Section 01

Acceptance of Terms

Welcome to Meta Xcel Academy. These Terms of Use ("Terms," "Agreement") constitute a legally binding contract between you ("Student," "User," "you," or "your") and Meta Xcel Academy LLC ("Meta Xcel," "Company," "we," "us," or "our"), a limited liability company organized under the laws of the Commonwealth of Virginia, with its principal place of business at 1334 Shepard Dr, Unit C, Sterling, Virginia 20164.

By accessing or using our website located at meta-xcel.com, enrolling in any program, creating an account, or otherwise engaging with our services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference, including our Privacy Policy, Money-Back Guarantee Policy, and Cookie Notice.

If you do not agree to these Terms in their entirety, you must not access or use our services. Your continued use of our services following any posted modifications to these Terms constitutes your acceptance of such modifications.

Important: These Terms contain a binding arbitration clause and class action waiver in Section 13. Please read that section carefully, as it affects your legal rights regarding dispute resolution.
Section 02

Description of Services

Meta Xcel Academy provides online and in-person technology education and career development services, including but not limited to:

  • Instructor-led live bootcamp programs in disciplines including QA Automation, Salesforce Administration, Data Analytics, Data Science, Product Management, Business Analysis, and Scrum Master certification preparation;
  • Career coaching, resume review, mock interviews, and job placement support services;
  • Access to our learning management system, course materials, recorded session replays, and supporting resources;
  • Community access including cohort group channels, alumni networks, and student forums;
  • Certificate of completion upon successful fulfillment of program requirements.

We reserve the right, in our sole discretion, to modify, suspend, or discontinue any portion of our services at any time with reasonable notice to enrolled students. In the event of a material service change affecting enrolled students, we will provide no less than fourteen (14) days' advance written notice via the email address associated with your account.

Meta Xcel Academy does not guarantee employment outcomes. Job placement support is provided as a best-effort service subject to the terms of our Money-Back Guarantee Policy.

Section 03

Eligibility

To access and use our services, you must meet all of the following requirements:

  1. Age: You must be at least eighteen (18) years of age. Individuals between the ages of sixteen (16) and seventeen (17) may enroll only with documented consent from a parent or legal guardian, who shall also be bound by these Terms.
  2. Legal capacity: You must have the legal capacity to enter into a binding contract under applicable law. Individuals who have been declared legally incompetent or otherwise lack legal capacity may not enroll without proper legal representation.
  3. Geographic eligibility: Our services are intended for individuals located in the United States. International enrollment is permitted at our discretion, though certain features and guarantees may not apply to students located outside the United States.
  4. Technical requirements: You must have access to a computer or device, a stable internet connection, and all required software specified for your program. Technical requirements are disclosed at enrollment.
  5. Academic eligibility: Certain programs may require demonstrated prerequisites, as disclosed in program-specific materials. Misrepresentation of qualifications is grounds for immediate termination of enrollment without refund.

By enrolling, you represent and warrant that you meet all applicable eligibility requirements. We reserve the right to verify eligibility and to deny or revoke enrollment if eligibility requirements are not satisfied.

Section 04

Account Registration & Security

Access to our learning platform requires the creation of a student account. When registering, you agree to:

  • Provide accurate, current, and complete information as prompted during registration;
  • Maintain and promptly update your account information to keep it accurate, current, and complete;
  • Maintain the confidentiality of your account credentials, including your password;
  • Immediately notify Meta Xcel Academy of any unauthorized use of your account or any other breach of security at info@meta-xcel.com;
  • Accept responsibility for all activities that occur under your account, whether or not you have authorized them.

Your account is personal and non-transferable. You may not share your login credentials, allow others to access your account, or transfer your enrollment to any third party without our prior written consent. Account sharing constitutes a material breach of these Terms and may result in immediate account termination without refund.

We reserve the right to suspend or terminate accounts that we reasonably believe have been accessed without authorization or are being used in violation of these Terms.

Section 05

Enrollment & Payment Terms

5.1 Enrollment Process. Enrollment is confirmed upon receipt of your completed application, execution of an enrollment agreement, and receipt of the applicable tuition payment or execution of a payment plan agreement. Seat availability is not guaranteed until enrollment is confirmed in writing.

5.2 Tuition and Fees. Current tuition rates are published on our website and in your enrollment agreement. We reserve the right to modify tuition rates for future cohorts with no less than thirty (30) days' notice. Tuition rates confirmed in your executed enrollment agreement will not be modified for your enrolled cohort.

5.3 Payment Plans. We offer payment plan financing options. If you elect a payment plan:

  • You authorize us or our designated payment processor to charge the agreed installments on the scheduled dates;
  • Failure to make any scheduled payment within five (5) business days of the due date may result in suspension of platform access until the account is brought current;
  • Failure to make payment within thirty (30) days of the due date may result in termination of enrollment and referral to collections. You remain responsible for the full outstanding balance;
  • All payment plan obligations survive program completion or early withdrawal.

5.4 Accepted Payment Methods. We accept major credit cards (Visa, Mastercard, American Express, Discover), ACH bank transfers, and certain approved third-party financing arrangements. All transactions are processed in United States Dollars (USD).

5.5 Taxes. You are responsible for all applicable federal, state, and local taxes arising from your enrollment. We will provide documentation required for any applicable educational tax credits upon request.

Payment Security: All payment processing is handled by PCI-DSS compliant third-party processors. Meta Xcel Academy does not store full credit card numbers on our servers.
Section 06

Cancellation & Refund Policy

6.1 Fourteen-Day Cancellation Right. You may cancel your enrollment and receive a full refund of all tuition paid within fourteen (14) calendar days of the program start date (the "Cooling-Off Period"), provided that you have not accessed more than fifteen percent (15%) of the program's course materials. Cancellation requests must be submitted in writing to info@meta-xcel.com.

6.2 Post Cooling-Off Period Withdrawal. If you withdraw after the 14-day Cooling-Off Period but before completing sixty percent (60%) of the program's scheduled duration, you may be eligible for a pro-rated refund calculated as follows:

6.3 Non-Refundable Items. The following are non-refundable under all circumstances:

  • Application and administrative processing fees;
  • Third-party exam or certification fees paid on your behalf;
  • Optional add-on services purchased separately from core tuition;
  • Tuition for students who have been dismissed for conduct violations.

6.4 Refund Processing. Approved refunds will be processed within fifteen (15) business days of receipt of a valid, complete refund request. Refunds will be issued to the original payment method. Processing times vary by financial institution and are outside our control.

6.5 Job Placement Guarantee. Separately from this cancellation policy, enrolled graduates who meet all eligibility requirements may be entitled to a money-back guarantee as described in our Money-Back Guarantee Policy, which is incorporated herein by reference.

Section 07

User Conduct & Community Standards

Meta Xcel Academy is committed to providing a safe, respectful, and productive learning environment for all students, instructors, and staff. As a condition of enrollment, you agree to the following standards of conduct:

7.1 Prohibited Conduct. You agree that you will not, and will not assist or enable others to:

  • Engage in harassment, bullying, intimidation, or discrimination of any kind based on race, color, religion, national origin, sex, gender identity, sexual orientation, age, disability, or any other protected characteristic;
  • Share, distribute, or reproduce any course materials, recordings, assessments, or proprietary content without our express written authorization;
  • Engage in any form of academic dishonesty, including plagiarism, submitting work that is not your own, or misrepresenting your progress or project completion;
  • Solicit other students or instructors for personal financial gain, multi-level marketing, or any unauthorized business purpose;
  • Attempt to gain unauthorized access to our systems, other user accounts, or any restricted portions of our platform;
  • Upload, transmit, or distribute malicious code, viruses, or any content that may disrupt, damage, or impair the platform;
  • Misrepresent your identity, credentials, or affiliation in connection with our programs.

7.2 Consequences of Violations. Violations of our conduct standards may result in a formal warning, temporary suspension of platform access, or permanent dismissal from the program, at our sole discretion based on the severity of the violation. Students dismissed for conduct violations are not entitled to a refund of any tuition paid.

7.3 Reporting. We encourage all members of our community to report conduct violations to info@meta-xcel.com. We will investigate all credible reports promptly and in good faith.

Section 08

Intellectual Property Rights

8.1 Our Content. All content available through our services, including but not limited to course curricula, lecture recordings, written materials, assessments, platform design, trademarks, service marks, logos, and software, is the exclusive intellectual property of Meta Xcel Academy or its licensors and is protected by applicable United States and international intellectual property laws, including the Copyright Act, 17 U.S.C. § 101 et seq., and the Lanham Act, 15 U.S.C. § 1051 et seq.

8.2 License to Students. Upon enrollment and payment in good standing, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use course materials solely for your personal, non-commercial educational purposes during your enrollment period and for twelve (12) months thereafter. This license does not include any right to:

  • Sublicense, sell, resell, or transfer any materials to any third party;
  • Reproduce, distribute, or publicly display any course materials;
  • Create derivative works based on our materials;
  • Use materials for any commercial purpose or for the benefit of any third party.

8.3 Student Work Product. You retain ownership of original work product you create as part of program assignments and capstone projects. By submitting work product, you grant Meta Xcel Academy a non-exclusive, royalty-free, perpetual license to use, reproduce, and display your work product for educational demonstration and marketing purposes, with attribution.

8.4 DMCA Policy. We respect the intellectual property rights of others. If you believe that content on our platform infringes your copyright, please submit a notice complying with the Digital Millennium Copyright Act (17 U.S.C. § 512) to info@meta-xcel.com.

Section 09

Third-Party Services & Links

Our services may integrate with, link to, or incorporate third-party platforms and services, including learning management systems, video conferencing tools, communication platforms, payment processors, and career resources. Your use of any third-party service is subject to that service's own terms and privacy practices.

Meta Xcel Academy is not responsible for the content, accuracy, policies, or practices of any third-party website or service. The inclusion of a link or integration does not imply our endorsement of, or affiliation with, the third party. We strongly encourage you to review the privacy policies and terms of use of any third-party services you access through or in connection with our programs.

Certain programs may require you to create accounts with or pay for third-party tools or certification bodies. Any such requirements will be disclosed in your program's specifications prior to enrollment. Meta Xcel Academy is not liable for fees, terms, availability, or outcomes related to third-party services.

Section 10

Disclaimers & Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

Without limiting the foregoing, Meta Xcel Academy expressly disclaims:

  • Any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement;
  • Any warranty that our services will meet your specific requirements or expectations;
  • Any warranty that our services will be uninterrupted, timely, secure, error-free, or virus-free;
  • Any warranty regarding the accuracy, completeness, reliability, or currency of any content or information provided;
  • Any warranty that defects in the platform will be corrected;
  • Any warranty regarding employment outcomes or earnings potential following program completion.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by applicable law.

Section 11

Limitation of Liability

11.1 Exclusion of Consequential Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL META XCEL ACADEMY, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF TUITION ACTUALLY PAID BY YOU TO META XCEL ACADEMY IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

11.3 Essential Basis. The limitations in this section reflect a reasonable allocation of risk and are an essential element of the basis of the bargain between you and Meta Xcel Academy. We would not be able to provide services on an economically viable basis without these limitations.

Section 12

Indemnification

You agree to indemnify, defend, and hold harmless Meta Xcel Academy, its members, officers, directors, employees, agents, contractors, successors, and assigns from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use of or access to our services;
  • Your violation of these Terms or any applicable law or regulation;
  • Your violation of any rights of a third party, including intellectual property rights;
  • Any content or information you submit, post, or transmit through our services;
  • Your willful misconduct or gross negligence.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You may not settle any indemnified claim without our prior written consent.

Section 13

Dispute Resolution & Arbitration

Please Read Carefully. This section contains a binding arbitration agreement and class action waiver that significantly affects your legal rights. You have the right to opt out as described below.

13.1 Informal Resolution. Before initiating any formal dispute proceedings, you agree to first contact Meta Xcel Academy at info@meta-xcel.com and provide a written description of the dispute, the relief sought, and the contact information through which you may be reached. We will attempt in good faith to resolve the dispute within thirty (30) days of receipt.

13.2 Binding Arbitration. If we are unable to resolve a dispute through informal means, you and Meta Xcel Academy agree that any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved exclusively through final, binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as specified herein. Arbitration shall be conducted in Loudoun County, Virginia, or via video conference at either party's election.

13.3 Class Action Waiver. YOU AND META XCEL ACADEMY EACH WAIVE THE RIGHT TO PURSUE ANY CLAIM AS PART OF A CLASS ACTION, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. Each party may only bring claims in their individual capacity.

13.4 Opt-Out. You may opt out of binding arbitration within thirty (30) days of first agreeing to these Terms by sending written notice to Meta Xcel Academy, 1334 Shepard Dr, Unit C, Sterling, VA 20164, or by email to info@meta-xcel.com with "Arbitration Opt-Out" in the subject line. Opting out does not affect any other provision of these Terms.

13.5 Exceptions. Notwithstanding the foregoing, either party may bring an individual claim in small claims court for disputes within that court's jurisdiction, and either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

Section 14

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. Subject to the arbitration agreement in Section 13, any legal action or proceeding arising under these Terms that is not subject to arbitration shall be brought exclusively in the federal or state courts of competent jurisdiction located in Loudoun County, Virginia, and the parties hereby consent to personal jurisdiction and venue in such courts.

If you are a consumer located in a jurisdiction whose laws provide mandatory protections that cannot be waived by contract, those protections shall apply to the extent required by applicable law, and no provision of these Terms shall be interpreted to waive such mandatory protections.

Section 15

Modifications to Terms

We reserve the right to update, modify, or replace these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this document;
  • Send email notice to the address associated with your account at least fourteen (14) days before the changes take effect for currently enrolled students;
  • Display a prominent notice on our website and within the learning platform.

Your continued enrollment in or access to our services after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must notify us within ten (10) days and request a refund as applicable under Section 6.

For non-material changes, such as typographical corrections, formatting updates, or clarifications that do not change the substantive rights of either party, we may modify these Terms without prior notice, though we will always update the "Last Updated" date.

Section 16

General Provisions

16.1 Entire Agreement. These Terms, together with the Privacy Policy, Money-Back Guarantee Policy, Cookie Notice, and your Enrollment Agreement, constitute the entire agreement between you and Meta Xcel Academy with respect to the subject matter hereof, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

16.2 Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.3 Waiver. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Meta Xcel Academy.

16.4 Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms, in whole or in part, to any affiliate, successor, or acquirer without restriction.

16.5 Force Majeure. Neither party shall be liable for any delay or failure in performance resulting from acts beyond such party's reasonable control, including acts of God, natural disasters, pandemic, government action, war, terrorism, labor disputes, or failures of third-party infrastructure.

16.6 Electronic Communications. By using our services, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

16.7 Headings. Section headings in these Terms are for convenience only and have no legal effect.
